1. Parties and premises

This Rental Agreement and Release of Liability is entered into between Chem Cell Club, Inc. (“the Club”) and the individual identified as the Renter below (“Renter”), for use of the premises at 2951 Riverside Dr, Fernandina Beach, FL 32034, including the main hall, kitchen, covered patio, lawn and parking areas (“the Premises”).

2. Rental period

The rental period begins at 8:00 a.m. on the reserved date and ends at 12:00 midnight the same day — sixteen (16) hours. The Renter is responsible for the Premises for the entire period, including set-up, the event itself, and complete removal of all persons, property, decorations and refuse before the period ends at midnight.

3. Fees and deposit

Renter agrees to pay a rental fee of $750.00 and a refundable security deposit of $250.00, both payable in full at the time of booking ($1,000.00 total). The deposit is refunded within fourteen (14) days after the event provided every rule in this Agreement is followed, less any amounts properly withheld under Section 6. Payment by check is accepted only if the check is received at least three (3) weeks before the event date; inside three weeks, payment must be made in cash (or by card, where card payment is offered).

4. Conduct and supervision

Renter shall be present or shall designate a responsible adult present for the duration of the event, and is responsible for the conduct of all guests, vendors and invitees. Renter shall comply with all applicable Nassau County and City of Fernandina Beach ordinances, including noise ordinances. Amplified outdoor music shall cease at 11:00 p.m. as a condition of this Agreement.

5. Alcohol

Alcohol is permitted. The Club does not require a licensed bartender or event insurance. Where alcohol is present, Renter is responsible for ensuring that guests consume it responsibly, that no person under 21 years of age is served, and that no person is permitted to drive while impaired. Renter assumes full responsibility for compliance with Florida law and for the conduct of every guest.

6. Condition of the Premises and deposit withholding

Renter shall return the Premises in the condition received. The Club may withhold from the security deposit the reasonable cost of: repairing damage beyond ordinary wear; removing refuse or decorations left on site; cleaning where cleaning service was not purchased; any fine or citation arising from the event; and additional time where guests or property remain after midnight Photographs of the Premises will be taken before and after the rental period and provided to Renter on request.

7. Prohibited items and activities

No nails, screws, staples or adhesive tape on painted or finished surfaces; no glitter, confetti, rice or artificial flower petals; no open flame other than candles fully enclosed in glass; no smoking indoors; no fireworks; no pets other than documented service animals; no alteration of electrical, plumbing or fire-safety equipment.

8. Cancellation

Cancellation more than ninety (90) days before the event: rental fee refunded in full. Within ninety (90) days of the event: the rental fee is retained as credit toward a future date within twelve (12) months. The security deposit is refunded in all cases. The Club may cancel and refund in full if the Premises become unusable through no fault of the Renter.

9. Assumption of risk and release of liability

Renter acknowledges that use of the Premises involves inherent risks, including but not limited to slips, trips and falls; injury from tables, chairs, equipment or kitchen appliances; injury occurring on the lawn, patio, parking area or near the water; foodborne illness arising from food prepared or served by the Renter or the Renter’s vendors; weather; and the conduct of other guests.

To the fullest extent permitted by Florida law, Renter, on behalf of the Renter and the Renter’s guests, invitees, heirs and assigns, releases and holds harmless Chem Cell Club, Inc., its officers, directors, members, employees and volunteers from any and all claims, demands, damages, losses and expenses, including reasonable attorneys’ fees, arising out of or relating to the event, except to the extent caused by the Club’s gross negligence or wilful misconduct.

10. Indemnification

Renter shall indemnify and defend the Club against any claim brought by a guest, vendor or third party arising out of the event or the Renter’s use of the Premises.

11. Personal property

The Club is not responsible for property left on the Premises. Items not removed by midnight may be disposed of after twenty-four (24) hours.

12. Governing law

This Agreement is governed by the laws of the State of Florida, with venue in Nassau County.

13. Entire agreement

This Agreement, together with the booking confirmation and rate card, is the entire agreement between the parties and supersedes any prior discussion. It may be amended only in writing.
